【イギリス】FRC、英国スチュワードシップ・コード2020発表。気候変動考慮を明記。年次報告も

　英国財務報告評議会（FRC）は10月24日、改訂版の英国スチュワードシップ・コード「英国スチュワードシップ・コード2020」発表した。2020年1月1日に発効する。英国のスチュワードシップ・コードは2010年に初版がリリースし、2012年に改訂版がリリース。今回の2019年版は7年ぶりの改訂で第3版となる。1月に改訂案を公表し、パブリックコメントを募集していた。

　今回の改訂では、スチュワードシップ・コードの原則が、7原則から12原則に拡大。さらにサービスプロバイダー向けのスチュワードシップ・コードも6原則設けられた。1月発表の原則案からも体系、文言ともに大幅な修正があった。

　現行版からの変更ポイントでは、項目の一つに「Purpose and Governance（目的とガバナンス）」が位置づけられ、機関投資家は、組織の目的（存在意義）、投資信念、組織文化等を説明すべきとした。但し、原案では、Purposeや組織文化の策定と開示を義務付けていたが、文言は「説明すべき」に弱められた。

　また、投資手法では、2020年版では「気候変動を含む重要なESGファクターを考慮する」ことが定められ、気候変動が強調された形となった。スチュワードシップ・コードが求める活動に関する毎年の報告も義務化された。また、株式だけでなく、全アセットクラスでのスチュワードシップが明記された。

目的とガバナンス

• 原則1：Signatories’ purpose, investment beliefs, strategy, and culture enable stewardship that creates longterm value for clients and beneficiaries leading to sustainable benefits for the economy, the environment and society.
• 原則2：Signatories’ governance, resources and incentives support stewardship.
• 原則3：Signatories manage conflicts of interest to put the best interests of clients and beneficiaries first.
• 原則4：Signatories identify and respond to market-wide and systemic risks to promote a well-functioning financial system.
• 原則5：Signatories review their policies, assure their processes and assess the effectiveness of their activities.

投資アプローチ

• 原則6：Signatories take account of client and beneficiary needs and communicate the activities and outcomes of their stewardship and investment to them.
• 原則7：Signatories systematically integrate stewardship and investment, including material environmental, social and governance issues, and climate change, to fulfil their responsibilities.
• 原則8：Signatories monitor and hold to account managers and/or service providers.

エンゲージメント

• 原則9：Signatories engage with issuers to maintain or enhance the value of assets.
• 原則10：Signatories, where necessary, participate in collaborative engagement to influence issuers.
• 原則11：Signatories, where necessary, escalate stewardship activities to influence issuers.

権利行使と責任

• Signatories actively exercise their rights and responsibilities.
